Referral programme terms

These terms apply when you refer a business or person (a “Lead”) to Digital Oxygen (“we”, “us”) through our Refer a leadpage, by email or otherwise, and when you apply to or take part in our affiliate programme. By submitting a referral or an affiliate application you (the “Referrer”) agree to these terms, our website terms and conditions and ourprivacy policy.

1. Who can take part

  • You must be at least 18 years old and able to enter into a binding agreement.
  • Our employees and contractors, and anyone referring themselves or their own business, are not eligible for commission.
  • If you refer on behalf of a company, you confirm you are authorised to do so and commission will be paid to that company.

2. Your responsibilities when you refer someone

Before you share anyone’s personal information with us, you must comply with the Protection of Personal Information Act, 2013 (POPIA) and any other data protection law that applies to you. In particular, you confirm that for every Lead you refer:

  • the Lead knows you are sharing their details with Digital Oxygen and has agreed to be contacted by us about the services they need;
  • you have told the Lead that they can read how we handle their information in our privacy policy;
  • the information you give us is accurate, was obtained lawfully, and is limited to business contact details and a description of their needs. You must not send us special personal information (such as health, religious, biometric or criminal information), identity or banking details, or information about children;
  • you will not spam, cold-message or pressure people on our behalf, use our name or brand in advertising, or make promises about our services, prices or timelines.

If a Lead tells us they did not agree to be referred, we will stop contacting them and delete their details, and no commission will be payable for that referral. Repeated or serious breaches of this section may result in your removal from the programme.

3. What we do with a referral

  • We will aim to contact the Lead within two business days. When we do, we tell them who referred them, where we got their details, why we are contacting them and that they can ask us to stop at any time.
  • We decide independently whether to take on any work, and on what terms. We are not obliged to accept any Lead or to share the details of our discussions or agreements with the Lead with you, beyond whether the referral is progressing and whether commission is due.
  • If a Lead is not interested, or we cannot reach them, we delete their details as set out in our privacy policy.

4. Qualifying referrals

A referral qualifies for commission when all of the following apply:

  • the Lead is new to us. We will tell you promptly if we were already in contact with them, and in that case no commission is payable;
  • you were the first person to refer that Lead to us;
  • the Lead signs a written agreement with us for paid services within 12 months of your referral; and
  • you have complied with these terms.

5. Commission

  • Because our projects vary widely in size, we confirm the commission for each qualifying referral to you in writing (email is enough) before the project starts. That written confirmation forms part of these terms for that referral.
  • Unless the written confirmation says otherwise, commission applies to the value of the first project the Lead signs, excluding VAT, third-party costs (such as software licences, domains or hosting resold at cost) and ongoing monthly fees.
  • Commission is paid only on amounts the Lead has actually paid us. For projects billed in phases, commission is paid as each phase is paid. We pay within 30 days of receiving the Lead’s payment.
  • If we refund a Lead, or a Lead’s payment is reversed, the commission on that amount is not payable, or may be offset against future commission.
  • To receive payment, you must send us an invoice, or the payment details we ask for, and any tax information we need. You are responsible for your own tax, including income tax and VAT on your commission. If you are a VAT vendor, your invoice must be a valid tax invoice.

6. Affiliates

  • Affiliate applications are reviewed individually and we may decline any application. Approved affiliates may be asked to sign a separate affiliate agreement. If they do, that agreement takes precedence over these terms where the two differ.
  • Affiliates are independent. Nothing in these terms creates employment, partnership, agency or a joint venture, and affiliates may not bind us or sign agreements on our behalf.
  • Either party can end an affiliate relationship at any time by email. Commission on qualifying referrals made before it ends remains payable under these terms.

7. Confidentiality

Any non-public information you receive from us about a Lead, our pricing or our clients must be kept confidential and used only for the purpose of the programme.

8. Your personal information

We process your personal information, and that of the Leads you refer, as set out in thereferrals section of our privacy policy. We keep a record of the consent statements you agreed to when you submitted a referral, the version of these terms, and the date, time and IP address of the submission, so that we can show the referral was made lawfully.

9. Changes and ending the programme

We may change these terms, or end the programme, at any time by updating this page. Changes do not affect commission we have already confirmed to you in writing. The version that applies to a referral is the version in force when you submitted it.

10. Liability

To the extent permitted by law, our total liability to you under the programme is limited to the commission payable to you for the relevant referral. You indemnify us against claims arising from your breach of section 2, including referring someone without their agreement.

11. General

These terms are governed by the laws of the Republic of South Africa. If any provision is found to be unenforceable, the remaining provisions continue to apply. Questions about the programme can be sent to hello@digitaloxygen.co.za.
